  1. Acceptance of Terms By accessing or using BuilderMate’s services, you agree to be bound by these Terms of Service and
    our Privacy Policy. If you do not agree, do not use our services.
  1. Description of Service BuilderMate provides an online software-as-a-service (SaaS) platform for contractors and remodeling
    businesses to manage leads, clients, projects, appointments, invoices, and related business
    operations. Our services include web-based software, mobile applications, and SMS notification
    services.
  1. Eligibility You must be at least 18 years old and able to form a legally binding contract to use BuilderMate.
    By using our services, you represent and warrant that you meet these eligibility requirements.
  1. Account Registration You are responsible for:
  • Providing accurate and complete registration information
  • Keeping your login credentials secure
  • Maintaining current contact information, including phone number and email
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  1. SMS Messaging Services 5.1 SMS Notifications BuilderMate offers SMS text messaging services to send you notifications about:
  • Appointment reminders and confirmations
  • Project status updates
  • Invoice and payment notifications
  • System alerts and account updates
  • Two-way communication with clients and contractors 5.2 Consent to Receive SMS Messages By providing your mobile phone number and checking the opt-in box during registration or in your
    account settings, you expressly consent to receive text messages from BuilderMate and its
    authorized partners regarding your account, projects, appointments, and service-related
    communications. You understand and agree that:
  • Message frequency varies based on your activity and project status
  • Standard message and data rates may apply from your mobile carrier
  • Carriers are not liable for delayed or undelivered messages
  • You may opt out at any time by replying STOP to any message
  • You may reply HELP for customer support information 5.3 Opt-Out Rights You have the right to opt out of SMS communications at any time by:
  • Replying STOP to any SMS message you receive from BuilderMate
  • Updating your notification preferences in your account settings
  • Contacting support at support@bldrmate.com After you opt out, you will receive one final confirmation message, and no further messages will be
    sent unless you re-enable SMS notifications. 5.4 No Sharing of Phone Numbers BuilderMate will NOT sell, rent, or share your mobile phone number with third parties for their
    marketing purposes. We only use your phone number to provide you with service-related notifications
    as described in these Terms and our Privacy Policy. 5.5 Supported Carriers Our SMS service is available for all major U.S. mobile carriers, including but not limited to AT&T,
    Verizon, T-Mobile, Sprint, and other participating carriers.
  1. Subscription Plans & Billing 6.1 Recurring Billing Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless
    canceled before the renewal date. 6.2 Payment Method You authorize us to charge your chosen payment method (processed securely via Stripe) for
    subscription fees, setup fees, and any applicable taxes. 6.3 Price Changes We may change subscription pricing with at least 30 days’ advance notice. Continued use after the
    notice period constitutes acceptance of the new pricing. 6.4 Failed Payments If payment fails, we will attempt to notify you. Accounts with unpaid invoices may be suspended or
    terminated after a grace period. 6.5 Taxes You are responsible for any applicable sales, use, or value-added taxes associated with your
    subscription.
  1. Cancellations & Refunds 7.1 Cancellation You may cancel your subscription at any time from your account settings or by contacting
    support@bldrmate.com. 7.2 Effective Date Cancellations take effect at the end of the current billing cycle. You will retain access to paid
    features until that date. 7.3 Refund Policy We do not offer refunds for partially used subscription periods. Upon cancellation, no further
    charges will be made. 7.4 Free Trial If applicable, free trial subscriptions may be canceled at any time during the trial period without
    charge.
  1. Acceptable Use Policy You agree NOT to use BuilderMate to:
  • Engage in any unlawful, fraudulent, or deceptive activities
  • Send spam, unsolicited marketing, or harassing messages via our SMS or email services
  • Upload viruses, malware, or malicious code
  • Attempt to gain unauthorized access to our systems or other users’ accounts
  • Resell, sublicense, or redistribute access to BuilderMate without our written permission
  • Violate any applicable laws, including TCPA (Telephone Consumer Protection Act), CAN-SPAM Act, or
    other telecommunications regulations
  • Use the service to send messages containing prohibited content (illegal substances, hate speech,
    violence, etc.)
  • Impersonate another person or entity Violation of this policy may result in immediate suspension or termination of your account.
  1. Intellectual Property BuilderMate and all associated content, software, features, logos, and trademarks are owned by
    BuilderMate or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable
    license to use the service for its intended business purposes only. You retain ownership of all data, content, and information you upload to BuilderMate.
  1. Data & Privacy 10.1 Data Collection We collect and process customer data as described in our Privacy Policy, including:
  • Account information (name, email, phone number, company details)
  • Usage data and analytics
  • Client and project information you input into the system 10.2 Data Security We implement industry-standard security measures to protect your data, including encryption, secure
    data centers, and access controls. 10.3 Data Ownership You retain ownership of all data you input into BuilderMate. We do not claim ownership of your
    customer data. 10.4 No Third-Party Sharing We will NOT sell or share your personal information, including phone numbers and email addresses,
    with third parties for their marketing purposes. We may share data only:
  • With service providers who assist in operating our platform (e.g., hosting, payment processing,
    SMS delivery)
  • When required by law or legal process
  • To protect our rights or prevent fraud 10.5 Data Deletion Upon account termination, you may request deletion of your data. We will comply within 30 days,
    except where retention is required by law.
  1. Third-Party Integrations BuilderMate may integrate with third-party services (e.g., QuickBooks, Google Calendar, Stripe,
    Telnyx for SMS). Your use of these integrations is subject to the third party’s own terms of
    service and privacy policies.
  1. Disclaimers 12.1 “AS IS” Service BuilderMate is provided “as is” and “as available” without warranties of any kind, either express
    or implied, including but not limited to warranties of merchantability, fitness for a particular
    purpose, or non-infringement. 12.2 No Guarantee of Uptime While we strive for high availability, we do not guarantee uninterrupted, error-free, or secure
    operation of the service. 12.3 SMS Delivery We do not guarantee delivery of SMS messages due to factors outside our control, including carrier
    issues, network outages, or device settings.
  1. Limitation of Liability To the fullest extent permitted by law, BuilderMate, its officers, directors, employees, and agents
    shall NOT be liable for:
  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the amount you paid to BuilderMate in the 12 months prior to the claim This limitation applies regardless of the legal theory (contract, tort, negligence, etc.).
  1. Indemnification You agree to indemnify and hold harmless BuilderMate from any claims, damages, losses, or expenses
    (including attorney’s fees) arising from:
  • Your violation of these Terms
  • Your misuse of the service
  • Your violation of any third-party rights
  • Content you upload or transmit through BuilderMate
  1. Termination 15.1 By You You may terminate your account at any time as described in Section 7. 15.2 By BuilderMate We reserve the right to suspend or terminate your account if:
  • You violate these Terms of Service
  • Your account is inactive for an extended period
  • Your payment method fails repeatedly
  • We are required to do so by law 15.3 Effect of Termination Upon termination, your right to use BuilderMate ceases immediately. We may delete your data after a
    reasonable retention period.
  1. Governing Law & Dispute Resolution 16.1 Governing Law These Terms are governed by and construed in accordance with the laws of the State of California,
    without regard to its conflict of law principles. 16.2 Jurisdiction Any disputes shall be resolved in the state or federal courts located in California. 16.3 Arbitration (Optional) If you prefer, disputes may be resolved through binding arbitration under the rules of the American
    Arbitration Association.
  1. Changes to Terms We may update these Terms of Service from time to time. When we do:
  • We will update the “Effective Date” at the top of this document
  • We may notify you via email or in-app notification
  • Continued use of BuilderMate after changes constitutes acceptance of the updated Terms We encourage you to review these Terms periodically.
  1. Entire Agreement These Terms of Service, together with our Privacy Policy, constitute the entire agreement between
    you and BuilderMate regarding use of the service.
  1. Severability If any provision of these Terms is found to be unenforceable or invalid, that provision will be
    limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in
    full force and effect.
